Sales Conditions
1. Product Inspection
- Inspection at loading port can be performed by SGS at the seller’s cost.
- If requested, inspection at destination port can be carried out at the buyer’s cost.
2. Shipping Documents
For each shipment, the following documents are issued and provided to the buyer:
- Bill of Lading – three originals and three copies marked “freight prepaid”.
- Commercial Invoice – three originals and three copies.
- Certificate of Origin issued by the official authority – one original and three copies.
- Certificate of Quality and Quantity issued by SGS – multiple copies.
- Declaration from the shipping company confirming that the vessel is not older than twenty (20) years and is registered with Lloyd’s.
- Packing List with gross / net weights – three originals and three copies.
- Proof of Ownership of the goods.
- Phytosanitary Certificate, if required by the destination country.
- Fumigation Certificate, if required by the destination country.
3. Delivery Terms
- Shipping terms follow INCOTERMS® 2020 and European standards.
- Delivery type: FOB.
- Mode of transport: Maritime Transport.
- Loading port: Tartus, Syria.
- Delivery / shipment dates are negotiated and agreed in the sales contract.
- Transport insurance is arranged and paid by the Buyer.
- Packaging and net weight are handled as bulk in metric tons (MT).
- All shipping documents and invoices are issued at the loading port.
4. Payment Terms
- Payment structure: DLC (MT700) + final payment by TT (MT103).
- DLC is issued by the buyer’s bank in favour of the seller, as per the agreed SPA.
- Final TT payment is made after SGS inspection and confirmation at Tartus loading port.
Transaction Procedure
Standard transaction flow for Rock Phosphate G4 supply. Details can be adjusted case by case in the Sales & Purchase Agreement (SPA).
- Buyer submits a formal Letter of Intent (LOI) with full details and target requirements.
- Seller (Vatoz Group) issues a detailed Full Corporate Offer (FCO).
- Buyer sends ICPO (Irrevocable Corporate Purchase Order) together with company profile and Proof of Funds (RWA – Ready, Willing and Able).
- Seller provides a draft Sales & Purchase Agreement (SPA) for review.
- Final SPA is negotiated (if needed) and signed by both parties.
- Buyer’s bank issues operative, irrevocable DLC (MT700) in favour of the seller, as per SPA.
- Shipment is carried out according to the agreed schedule and laycan in the SPA.
- SGS inspection is performed at the loading port (Tartus) to confirm quality and quantity.
- Upon SGS confirmation, buyer makes final payment by TT (MT103) as per the SPA.
